1. About these Terms

1.1

These Terms of Service (Terms) are an agreement between Glacix Tech Pty Ltd (ABN 36 644 983 595, ACN 644 983 595) of Level 5, 7 Eden Park Drive, Macquarie Park NSW 2113, Australia (Glacix, we, us) and the person or business that opens an account with us (you). They apply to your use of our website, platform and services (the Services).

1.2

If you use the Services for a company or other organisation, you confirm that you are authorised to act for it, and “you” means that organisation.

1.3

By opening an account or using the Services, you agree to these Terms. These Terms apply from the effective date shown above and replace any earlier terms. If you were already a customer before that date, we will tell you about these Terms, and if you continue to use the Services after we tell you, you agree to them. If you do not agree, you may close your account under section 11.

1.4

Our Privacy Policy explains how we handle personal information.

2. Who we are

2.1

We are an Australian company registered with AUSTRAC on the Remittance Sector Register and the Virtual Asset Service Provider Register. We are a reporting entity under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) (AML/CTF Act).

2.2

Registration with AUSTRAC does not mean that AUSTRAC endorses or guarantees the Services.

2.3

We do not provide financial, investment, tax or legal advice.

3. Our Services

3.1

Through our platform you can:

  1. deposit supported digital assets, such as USDT, into your account;
  2. instruct us to pay your suppliers and other recipients by bank transfer, in your name or in the name of a payer that we have approved for your account;
  3. where available, convert between supported digital assets and currencies; and
  4. where available, use payment cards and payment links.
3.2

Some Services are only available to certain customers or in certain countries or regions. Additional terms may apply to some Services, and we will show them to you before you use those Services.

3.3

Your account balance is our record of the digital assets and funds available to you.

3.4

We use third-party service providers, banks, payment networks, card issuers and blockchain networks to provide the Services.

4. Opening an account and verification

4.1

You must be at least 18 years old. If you are a business, you must be validly established, and the people acting for you must be authorised to do so.

4.2

The AML/CTF Act requires us to carry out customer due diligence before we provide the Services and on an ongoing basis. This includes identifying and verifying you and, for a business, the people who own, control or act for it. You must give us complete, accurate and up-to-date information and documents when we ask for them, and tell us promptly about any change.

4.3

We may refuse to open an account, or limit the Services available to you, including where we cannot complete verification.

5. Using the Services

5.1

Deposits. Only send supported digital assets, on a supported network, to the deposit address shown in your account. Blockchain transactions cannot be reversed. Digital assets sent to a wrong address or network, or unsupported assets, may be lost, and we may not be able to recover them.

5.2

Payment instructions. You are responsible for the accuracy of each instruction, including the recipient’s name and bank details, the amount, the currency and the payment reference. Once you confirm an instruction, it may not be possible to cancel it. We may ask for supporting documents, such as invoices, before we process a payment.

5.3

Information sent with payments. When we make a payment, we send payer and recipient information with it, as the law requires.

5.4

Timing. Payment times depend on banks, payment networks and compliance checks, and any times we give are estimates only.

5.5

Returned payments. If a payment is returned, we will credit the amount we actually receive back to your account. This may be less than the amount sent because of third-party charges and exchange rate movements.

5.6

Conversions. Where a conversion applies, we will show you the rate or the amount before you confirm.

6. Fees

6.1

Our fees are shown in the platform or agreed with you in writing. We will show you the fees for a transaction before you confirm it.

6.2

Banks and payment networks may deduct their own charges, and blockchain network fees may apply.

6.3

We may deduct fees and other amounts you owe us from your balance.

6.4

We will give you at least 30 days’ notice before we increase our fees. A change does not affect transactions you have already confirmed.

7. Compliance

7.1

We must comply with the AML/CTF Act, Australian sanctions laws and other laws. To do so, we may monitor your transactions, ask you for more information, delay, block or refuse a transaction, hold funds, suspend or close your account, and report information to AUSTRAC and other authorities.

7.2

The law may prevent us from telling you that we have made a report, or why we have taken an action. To the extent permitted by law, we are not liable for loss arising from action we reasonably take to comply with the law.

7.3

We keep records as the law requires, generally for 7 years after the transaction or after our relationship with you ends.

8. Prohibited use

8.1

You must not use the Services:

  1. for any unlawful purpose, including money laundering, terrorism financing, fraud, scams or tax evasion;
  2. for or with any person, country or region subject to Australian or United Nations sanctions, or any other jurisdiction we tell you we do not serve;
  3. to send or receive funds for another person without our approval; or
  4. to interfere with the platform or gain unauthorised access to it.

9. Account security

9.1

Keep your login details, multi-factor authentication devices, transaction PINs and API keys secure, and do not share them. You are responsible for instructions given using your credentials and for the actions of the people you allow to use your account.

9.2

If you suspect unauthorised access to your account or an unauthorised transaction, contact us immediately at support@glacix.xyz.

10. Liability

10.1

Nothing in these Terms excludes, restricts or modifies any right, remedy or guarantee under the Australian Consumer Law or any other law that cannot be excluded, restricted or modified.

10.2

To the extent permitted by law:

  1. we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or data;
  2. we are not liable for loss caused by banks, payment networks, blockchain networks or other third parties, by events outside our reasonable control, or by incorrect instructions or information you give us; and
  3. our total liability to you in any 12-month period is limited to the fees you paid us in that period.
10.3

You are responsible for loss we suffer to the extent it is caused by your breach of these Terms or of the law.

11. Suspension and closing your account

11.1

You may close your account at any time by contacting us at support@glacix.xyz. Before closing, please complete or cancel any pending transactions.

11.2

We may suspend or close your account by giving you at least 30 days’ notice, or immediately if we reasonably believe that you have breached these Terms, if the law requires it, or to manage a security, fraud or compliance risk.

11.3

When your account is closed, we will return your remaining balance to you, less any amounts you owe us, unless the law requires us to hold it. We may need to verify your withdrawal details first.

12. Changes to these Terms and the Services

12.1

We may change these Terms. A change that is not to your detriment, or that the law requires, may take effect immediately. For any other change, we will give you at least 30 days’ notice by email or in the platform. If you do not agree with a change, you may close your account before it takes effect.

12.2

We may change, suspend or withdraw any part of the Services. Where practicable, we will give you reasonable notice.

13. Notices

13.1

We may give you notices by email to the address registered in your account or in the platform.

13.2

You may give us notices by email to support@glacix.xyz or by post to our address shown above.

14. Complaints

14.1

If you have a complaint, please contact us at compliance@glacix.xyz and include your customer number and the details of your complaint. We will acknowledge your complaint promptly and aim to give you a response within 30 days. If we need more time, we will tell you why.

14.2

For privacy complaints, see our Privacy Policy, which also explains how you can complain to the Office of the Australian Information Commissioner.

15. General

15.1

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales.

15.2

You may not transfer your rights under these Terms without our consent. We may transfer our rights and obligations to a related company or to a successor to our business, and we will tell you if we do.

15.3

If any part of these Terms is invalid or unenforceable, the rest of these Terms continues to apply. If we do not enforce a right, we have not waived it.

15.4

These Terms are available in English and Chinese. If there is any inconsistency between the two versions, the English version prevails.
